These Terms and Conditions (“Terms”) form a binding agreement between Mixconix SRL (“Mixconix”, “we”, “us”, “our”) and the customer (“you”, “Customer”) governing your access to and use of:
(a) the Business Partner Validator application (“BPV” or the “Application”) — a multi‑tenant SaaS application built and operated by Mixconix on SAP® Business Technology Platform (SAP® BTP) under the SAP PartnerEdge Build (Cloud) track, listed on SAP Store, providing business‑partner master‑data validation, enrichment, and compliance reporting (the “Document and Reporting Compliance” use case);
(b) websites operated by Mixconix (including mixconix.com);
(c) related support, professional services, and documentation (together with (a) and (b), the “Services”).
By subscribing to, accessing, or using the Services, you agree to these Terms. If you do not agree, do not use the Services.
Mixconix SRL — Romanian company, CUI: RO 31654250; registered office: Str. Brândușelor 74, Green Centre, Brașov, Romania.
General contact: office@mixconix.com — Support: support@mixconix.com.
If you subscribe to BPV via SAP Store (the “Marketplace”), the commercial transaction (ordering, invoicing, taxes, renewals, cancellations, refunds) is governed by SAP Store terms. In case of conflict, SAP Store terms prevail for the commercial transaction; your use of BPV is governed by the EULA, these Terms, the Privacy Policy, and the DPA.
Merchant of Record & Taxes. Depending on region and listing, SAP may act as merchant of record, handling billing and tax calculation. Editions and support entitlements are those shown in the SAP Store listing.
Marketplace Data Sharing. You authorize SAP to share with Mixconix the minimum customer/order information needed for provisioning, fulfillment, and support of BPV, in line with SAP privacy notices and the Mixconix Privacy Policy.
Trials. Trials, if offered, are time‑limited, provided AS IS, may include usage caps, and expire unless converted to a paid plan.
Alignment with SAP PartnerEdge. Mixconix is bound by the SAP PartnerEdge Build agreements. To the extent any obligation in these Terms is narrower than what SAP requires of Mixconix as a partner, the SAP PartnerEdge obligations control between Mixconix and SAP, but do not create direct rights for you against SAP.
BPV is intended for business‑to‑business (B2B) use by SAP customers operating an SAP S/4HANA® Cloud or SAP S/4HANA on‑premise / SAP ECC backend connected to SAP BTP. BPV validates and enriches business‑partner master data using public and licensed third‑party sources (e.g., VIES, OpenIBAN, national commercial registries) and produces compliance reports tied to the SAP® Document and Reporting Compliance (DRC) use case.
You are responsible for compliance with laws applicable to your access and use. BPV is not designed to store or process special categories of personal data (Art. 9 GDPR) and is not tailored for sector‑specific regulations (e.g., HIPAA, FISMA, PCI‑DSS, ITAR). Do not use BPV for such purposes unless we expressly agree in writing.
All software, designs, text, graphics, logos, and trademarks of BPV and the Services are owned by Mixconix or its licensors and protected by intellectual property rights. Subject to these Terms and the EULA, Mixconix grants you a limited, non‑exclusive, non‑transferable, non‑sublicensable, revocable right to access and use BPV for your internal business purposes during the subscription term. No other rights are granted. All rights, title, and interest in SAP Materials remain with SAP and its licensors.
You represent that (a) you have legal capacity and authority to enter into these Terms on behalf of the entity named in the SAP Store order, (b) you will comply with all applicable laws, and (c) you will not access the Services through automated or non‑human means except via official APIs published by Mixconix.
Commercial terms (pricing, term, billing cycle, payment method) are set in the SAP Store listing or the applicable Order Form. Prices may change in accordance with applicable notice requirements. Fees are exclusive of taxes; you are responsible for all applicable taxes, duties, and government charges, except where SAP acts as merchant of record and calculates tax on its own behalf.
Subscriptions renew automatically for successive terms unless canceled through the SAP Store process or as set out in the Order Form. You may cancel effective at the end of the current paid term. Except where required by law or expressly stated in the Order Form, fees are non‑refundable.
In addition to the SAP Acceptable Use Policy applicable to SAP BTP and SAP Store, you agree not to: (a) copy, modify, reverse engineer, decompile, or create derivative works of BPV; (b) remove proprietary notices; (c) interfere with security features or attempt to bypass tenant isolation; (d) use BPV to harass, abuse, or harm; (e) upload malware or perform automated scraping; (f) use BPV in violation of law or third‑party rights; (g) overload, abuse, or exceed fair‑use limits of external validation sources (e.g., VIES, OpenIBAN, registries); (h) bypass SAP BTP authorization (XSUAA) controls; (i) attempt to access another tenant’s data; (j) use BPV to develop a competing product; (k) use BPV outputs, SAP Materials, or any data derived from BPV to train, develop, fine‑tune, or enhance machine‑learning or artificial‑intelligence models, except where expressly permitted by Mixconix and SAP in writing (consistent with SAP PartnerEdge Build Cloud Specific T&C, Part 2 Art. 4(2)(c)); (l) input unlawful or infringing content; (m) circumvent or endanger the operation or security of BPV; (n) remove copyright or authorship notices.
Where the Services allow you to submit content (e.g., support tickets, configuration, master‑data uploads), you are responsible for the content and warrant that you have all rights necessary to submit it. You grant Mixconix a non‑exclusive, royalty‑free license to use feedback to improve the Services. Customer master data and processed personal data are governed by the DPA.
Residuals. Either party may use general knowledge, skills, and experience retained by personnel in unaided memory, subject to confidentiality and intellectual property obligations.
BPV integrates with third‑party data sources and APIs (e.g., VIES, OpenIBAN, national registries). Mixconix is not responsible for the availability, accuracy, or content of such services. Your use of third‑party resources is at your own risk and may be subject to their terms.
Your use of BPV is subject to the Mixconix Privacy Policy. Processing of personal data in connection with BPV is governed by the Parties’ Data Processing Agreement (DPA). In case of conflict, the DPA prevails for data‑protection matters. BPV processes business contact data and business‑partner master data; it is not designed for special categories of personal data.
Mixconix operates under a certified Quality Management System (ISO 9001) and an Information Security Management System (ISO/IEC 27001). Technical and organizational measures (TOMs) are described in the DPA (Annex II). BPV follows SAP “clean core” principles, uses shared XSUAA mode with strict tenant isolation, and complies with the security obligations applicable under the SAP PartnerEdge Build Cloud Specific T&C.
You are responsible for security configuration within your SAP BTP subaccount, including role assignments, trust configuration, identity provider integration, and least‑privilege access.
Target availability for production tenants: 99.5% monthly uptime, measured at the application control plane (excluding scheduled maintenance, SAP BTP outages, and force majeure events). Service credits, if any, are defined in the Order Form.
Mixconix may modify or discontinue non‑material features with reasonable notice. Material changes affecting compatibility will be communicated at least 30 days in advance where feasible. We do not warrant uninterrupted or error‑free operation. Planned maintenance is performed outside business hours where feasible, with ≥2 business days’ notice.
If Mixconix provides professional services (implementation, advisory, custom development, integration), such services are governed by the Order Form and Annex B. Schedules are estimates; scope changes require written approval and may affect fees and timelines.
You shall comply with all applicable export control laws of the European Union, Romania, the United States, and any other relevant jurisdiction. You shall not use, export, re‑export, or transfer BPV in violation of such laws, including to embargoed countries or sanctioned persons. You represent that you are not located in, controlled by, or a national of any country embargoed by the EU or the United States.
Neither party is liable (other than for payment obligations) for any delay or failure caused by events beyond its reasonable control, including acts of God, war, terrorism, riots, embargoes, governmental actions, pandemics, fire, floods, accidents, strikes, telecommunication or power failures, or failures of SAP BTP or third‑party providers. The affected party shall promptly notify the other and use reasonable efforts to mitigate. If conditions persist for more than 30 consecutive days, the other party may terminate the affected Order Form upon written notice, consistent with SAP PartnerEdge GTC Part 1 Art. 17(2).
Open‑source components included in BPV are licensed under their respective licenses (see Annex C). To the extent of conflict, the open‑source license for a component governs your use of that component.
EXCEPT AS EXPRESSLY STATED IN AN ORDER FORM OR THE EULA, BPV AND THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE”. MIXCONIX DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON‑INFRINGEMENT. MIXCONIX DOES NOT WARRANT THAT VALIDATION RESULTS RETURNED BY EXTERNAL SOURCES (E.G., VIES, OPENIBAN, REGISTRIES) ARE ACCURATE, COMPLETE, OR CURRENT.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MIXCONIX SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION. MIXCONIX’S AGGREGATE LIABILITY UNDER OR IN CONNECTION WITH THESE TERMS SHALL NOT EXCEED THE FEES PAID BY YOU FOR THE SERVICES IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. NOTHING IN THESE TERMS LIMITS LIABILITY THAT CANNOT BE LIMITED BY LAW (E.G., GROSS NEGLIGENCE, WILLFUL MISCONDUCT, DEATH OR PERSONAL INJURY, OR MANDATORY DATA‑PROTECTION OBLIGATIONS).
You agree to defend, indemnify, and hold harmless Mixconix and its affiliates, officers, agents, partners, and employees from any third‑party claims and expenses arising from (a) your use of the Services in breach of these Terms, (b) Customer Content, or (c) your violation of applicable law or third‑party rights.
By using the Services, you consent to receive electronic communications from us. You agree that all agreements, notices, and records provided electronically satisfy any legal requirement that such communications be in writing.
SAP SE is not a party to these Terms. SAP, SAP S/4HANA, SAP BTP, SAP Store, SAP PartnerEdge, Fiori, and other SAP marks are trademarks of SAP SE or its affiliates. Your use of SAP platforms and services is governed by SAP’s own terms (including the Terms of Use for SAP Websites and the Supplemental Terms of Use for the SAP Partner Portal, published 13 May 2026). Where these Terms reference SAP services, such references are descriptive and do not create rights for you against SAP. Reservation of title: SAP and its licensors reserve all rights, title, and interests in SAP Materials.
You shall conduct operations in compliance with all applicable laws, rules, and regulations, including the U.S. Foreign Corrupt Practices Act, the U.K. Bribery Act, EU and Romanian anti‑corruption legislation, and the SAP Partner Code of Conduct to the extent applicable through Mixconix. You shall not, directly or indirectly, offer, promise, authorize, or make any payment or anything of value to any Government Official, political party official, public international organization officer, or their immediate family members for the purpose of unlawfully influencing business decisions. Business entertainment must be appropriate, transparent, and free of any appearance of improper influence.
Government Entities. If you are or use BPV for a Government Entity / Public Sector Customer, you shall notify Mixconix in advance and comply with any additional obligations imposed by SAP PartnerEdge or applicable public‑procurement law.
Conflict of Interest. You shall promptly disclose any actual or potential conflict of interest that may affect performance under these Terms.
Mixconix may, no more than once per twelve (12) months, upon at least one week’s written notice and during normal business hours, audit your compliance with the license scope, Acceptable Use, anti‑corruption and Export Regulations clauses. The audit shall not unreasonably interfere with your business. Mixconix bears its own audit costs unless a material breach is established. If a material breach is established, you shall bear the reasonable costs of the audit. This Section is required to allow Mixconix to satisfy its own audit obligations to SAP under SAP PartnerEdge GTC Part 1 Art. 9.
Each party shall protect the other’s confidential information using at least the same degree of care it uses for its own confidential information of like importance, and no less than reasonable care. Confidential information excludes information that is (a) publicly available without breach, (b) independently developed, (c) lawfully received from a third party without confidentiality obligation, or (d) required to be disclosed by law (with prompt notice where permitted). This Section survives termination for 5 years, or indefinitely for trade secrets.
These Terms are governed by the laws of Romania, without regard to conflict‑of‑laws principles. The competent courts are those of Brașov, Romania. Nothing in this Section limits any mandatory consumer or data‑protection rights you may have under applicable law.
