Aligned to: SAP PartnerEdge General T&C (enRO.v.04‑2026), SAP PartnerEdge Build Cloud Specific T&C, SAP PartnerEdge Sell Cloud Specific T&C (effective 15 August 2026), Romanian Civil Code, EU acquis on consumer and commercial software, Regulation (EU) 2016/679 (GDPR).
This End User License Agreement (“EULA”) is a binding legal agreement between Mixconix SRL (CUI: RO 31654250, Str. Brândușelor 74, Green Centre, Brașov, Romania) (“Mixconix”, “Licensor”, “we”, “us”) and the legal entity identified in the SAP Store order or applicable Order Form (“Customer”, “Licensee”, “you”).
By (a) accepting this EULA in the SAP Store ordering flow, (b) subscribing to or otherwise acquiring the Application, (c) accessing or using the Application, or (d) authorizing any individual to do so on your behalf, you accept and become bound by this EULA. The individual accepting this EULA represents that they have authority to bind the Customer.
If you do not agree to this EULA, do not access or use the Application, and cancel any pending order.
This EULA is supplemented by the Mixconix Terms and Conditions (the “T&C”), the Data Processing Agreement (the “DPA”), the Privacy Policy, the Support Policy, and any Order Form or SAP Store listing terms. The order of precedence is set out in Section 39.
The capitalized terms below have the meanings ascribed. Definitions are aligned with the SAP PartnerEdge GTC v.04‑2026 where applicable; where this EULA defines a term differently, this EULA controls between Mixconix and the Customer (but never affects the SAP–Mixconix partner relationship).
Capitalized terms not defined here have the meaning given in the T&C, the DPA, or the SAP PartnerEdge GTC, as the context requires.
Subject to the Customer’s continued compliance with this EULA and timely payment of all Fees, Mixconix grants the Customer a limited, non‑exclusive, non‑transferable, non‑sublicensable, revocable license to permit its Authorized Users to access and Use BPV during the Subscription Term, solely for the Customer’s internal business purposes and within the scope set by the applicable License Metric.
The license covers (a) Use of BPV as provided by Mixconix; (b) review of the Documentation; (c) configuration, parametrization, and authorized extensibility points within the limits of the Documentation; (d) use of standard APIs published by Mixconix for integration into the Customer’s authorized internal systems; (e) creation and storage of reports and outputs generated by BPV in the Customer’s own systems for the Customer’s internal business purposes.
The license does not include any right to: (a) sublicense, distribute, resell, rent, lease, or otherwise transfer BPV; (b) provide BPV as a service, time‑sharing, hosted offering, or managed service to third parties; (c) Modify BPV; (d) develop Add‑ons that incorporate or redistribute SAP Materials; (e) circumvent the License Metric or any technical enforcement of it; or (f) any other use not expressly granted.
All rights not expressly granted are reserved by Mixconix and its licensors. No title in the Application or SAP Materials transfers to the Customer. The Application is licensed, not sold.
Use of BPV is metered per the License Metric set out in the SAP Store listing or Order Form. Typical metrics include (full definitions in Annex B):
If the Customer’s Use exceeds the metered scope, Mixconix may (a) issue a true‑up invoice at the standard list price for the overage; (b) reasonably throttle requests above the entitlement; or (c) require an Order Form amendment.
Mixconix provisions Tenants in the SAP BTP region selected at order, defaulting to EU — Frankfurt (eu10) unless otherwise agreed. Tenant onboarding follows SAP CAP / MTX multi‑tenant patterns under shared XSUAA mode, consistent with SAP “clean core” principles.
BPV is offered under two deployment models. The model in effect is the one identified in the SAP Store listing or Order Form.
BPV runs in the Mixconix Environment on SAP BTP. Mixconix operates the Tenant, applies updates, and is responsible for the operational layer described in Annex II of the DPA. The Customer manages users, roles, destinations to its own S/4HANA, and configuration.
BPV is provisioned by Mixconix into the Customer’s own SAP BTP subaccount. The Customer is contractually bound to SAP directly for the SAP BTP subscription; SAP is the Customer’s processor for the platform layer (not Mixconix’s Sub‑processor). Mixconix remains responsible for the BPV application layer and the Sub‑processors it itself engages, and provides operational guidance per the Documentation.
Across both models, the Customer shall not (a) replicate or stand up additional Tenants beyond those licensed; (b) integrate BPV with backends or identity providers other than those configured under the Order Form without notifying Mixconix; (c) use one Tenant to validate data of a separate legal entity unaffiliated with the Customer; (d) bypass tenant isolation.
The Customer shall (a) ensure each Authorized User accesses BPV under a unique, named identity; (b) prohibit credential sharing; (c) promptly disable access for individuals who change roles or leave the organization; (d) enable MFA for administrative roles; (e) configure SAP XSUAA role collections in accordance with least privilege.
The Customer is responsible for the acts and omissions of its Authorized Users and for any Use of BPV through the Customer’s accounts, as if such acts were the Customer’s own.
Where SAP XSUAA is federated to the Customer’s identity provider (IdP), the Customer is responsible for the security, trust configuration, and lifecycle of identities issued by its IdP.
The Customer is responsible for:
BPV_S4H_DEST (or equivalent) to its SAP S/4HANA / SAP ECC system using approved authentication mechanisms (e.g., OAuth2SAMLBearerAssertion, PrincipalPropagation, or BasicAuthentication for non‑production). In addition to the obligations in the T&C and any SAP Acceptable Use Policy applicable to SAP BTP and SAP Store, the Customer (and its Authorized Users) shall not:
BPV exposes documented extensibility points (e.g., SAP CAP extensibility features under @sap/cds extensibility, custom destinations, configurable validation rule sets). The Customer may use these strictly per the Documentation.
The Customer may develop its own Add‑ons that interact with BPV solely via published APIs and that do not (a) modify Mixconix or SAP source code or metadata; (b) incorporate or redistribute SAP Materials; (c) circumvent the License Metric or tenant isolation.
The Customer retains ownership of its own Add‑ons, excluding any Mixconix or SAP IP Rights embedded therein. Mixconix is not responsible for the maintenance, compatibility, or security of Customer‑developed Add‑ons.
The Customer shall not Modify BPV or attempt to alter delivered source code, metadata, or compiled artefacts.
BPV integrates with the following sources to deliver core functionality. Their availability and accuracy are outside Mixconix’s control. See DPA Section 2.4 for their data‑protection roles.
The following are disabled by default and enabled only at the Customer’s instruction:
BPV reads from and writes to the Customer’s SAP S/4HANA / SAP ECC via a Destination configured by the Customer (e.g., BPV_S4H_DEST using API_BUSINESS_PARTNER and ZBPV_BILLING_SRV). The Customer warrants it has the right to enable such access.
Validation results are advisory. Mixconix does not warrant the accuracy, completeness, or currency of data returned by external sources.
BPV uses AI modules for similarity matching (address similarity, name matching), anomaly detection, and decision support. AI is invoked via SAP AI Core / Generative AI Hub with the SAP Orchestration service. Underlying models may include Anthropic Claude, OpenAI GPT‑4o, and Google Gemini, exposed under SAP’s commercial terms with the model providers.
All inputs sent to LLMs are masked by SAP Data Privacy Integration (SAP DPI) before invocation, in accordance with the technical and organizational measures in Annex II of the DPA.
Prompts and completions associated with BPV are not used to train or improve any AI model, consistent with SAP PartnerEdge Build Cloud Specific T&C Part 2 Art. 4(2)(c).
BPV maintains an internal AI Transparency Log (ai-transparency middleware) recording, per request: the AI module invoked, the model name, masking applied, and a hash of the prompt envelope. The Customer may request its own AI transparency export via Support.
The Customer shall ensure appropriate human oversight of decisions informed by BPV’s AI outputs. BPV outputs are decision‑support; the Customer remains the decision‑maker for credit, compliance, or contractual outcomes.
BPV is designed in alignment with the EU AI Act’s expectations for general‑purpose AI integration in business software, including provider‑level disclosures (this Section 10) and operator‑level controls (the Customer’s oversight obligation in 10.5).
The DPA between the Parties governs the Processing of Personal Data in connection with BPV and prevails over this EULA for data‑protection matters. The Mixconix Privacy Policy applies to general interactions (e.g., the Mixconix website, marketing, and recruitment activities) and is not modified by this EULA.
Mixconix maintains certified management systems under ISO 9001 (QMS) and ISO/IEC 27001 (ISMS), and inherits the platform‑level certifications of SAP BTP via the SAP Trust Center. Detailed technical and organizational measures are set out in Annex II of the DPA. The Customer is responsible for security configuration in the Customer Environment.
Support is provided as set out in Annex A (Romania Standard, 8h/day) and in the Mixconix Support Policy. Maintenance includes corrective updates, security patches, and minor functional updates that do not materially reduce core functionality. The Customer shall accept all security patches released for BPV; failure to permit application of security patches may suspend Mixconix’s support obligations.
BPV follows semantic versioning. Minor and patch releases are backward‑compatible at the API surface. Major releases may introduce breaking changes with ≥6 months’ advance notice where feasible.
Deprecated APIs or features are flagged in the Documentation for at least 6 months before removal. Critical security‑driven removals may have a shorter window with prompt written notice.
The Customer shall test its integrations against pre‑release notices and migrate within deprecation windows. Mixconix may decline support for deprecated APIs after end‑of‑life.
Fees are set out in the SAP Store listing or Order Form and are exclusive of taxes. The Customer is responsible for all applicable taxes, duties, and government charges, unless SAP acts as merchant of record for the transaction. Late payments may bear interest at the applicable Romanian statutory rate.
The Customer shall maintain accurate records of its Use of BPV sufficient to demonstrate compliance with the License Metric and this EULA, for the longer of (a) the Subscription Term plus 12 months, or (b) the period required by applicable law.
Upon at least 30 days’ written notice, no more than once per 12 months (unless a material breach is reasonably suspected), Mixconix or its independent expert may audit the Customer’s compliance with this EULA, during business hours and in a manner that minimizes disruption. Mixconix bears its own audit costs unless the audit establishes a material breach, in which case the Customer bears the reasonable audit costs. This Section 17 supports Mixconix’s own obligations under SAP PartnerEdge GTC Part 1 Art. 9.
Mixconix or its licensors retain all IP Rights in BPV, the Documentation, and any improvements or derivatives. The Customer obtains only the license expressly granted in Section 2.
All SAP Materials remain the sole and exclusive property of SAP and its licensors. Nothing in this EULA grants the Customer any rights in SAP Materials beyond what SAP itself grants in its own terms.
The Customer retains all rights in Customer Content. The Customer grants Mixconix a non‑exclusive, royalty‑free license to Process Customer Content as necessary to provide BPV, strictly in accordance with the DPA.
The Customer may submit Feedback (ideas, suggestions, improvements). The Customer grants Mixconix a perpetual, worldwide, irrevocable, royalty‑free, sublicensable license to use Feedback for any purpose, including incorporation into the Application, without obligation to compensate the Customer.
Consistent with SAP PartnerEdge GTC Part 2 Art. 4, SAP and its licensors reserve all rights, title, and interest in SAP Materials. The Customer shall not remove SAP’s copyright or authorship notices.
BPV incorporates runtime open‑source components listed in Annex C (with names, versions, licenses, and links; a machine‑readable export is available on request). Each component is licensed under its own terms; to the extent of conflict for a given component, the open‑source license governs Use of that component.
Mixconix warrants that, during the Subscription Term and excluding Trials and Customer‑caused incidents, BPV will materially conform to the Documentation.
The Customer’s exclusive remedy and Mixconix’s sole obligation for breach of Section 20.1 is, at Mixconix’s option, to (a) re‑perform the affected service; (b) provide a workaround or patch; or (c) if Mixconix cannot achieve conformity within 60 days of written notice, terminate the affected Subscription and refund the prepaid unused Fees for the non‑conforming portion.
The warranty does not apply to issues caused by (a) Customer Environment misconfiguration; (b) third‑party services outside Mixconix’s control (including the validation sources in Section 9.1 and Customer‑authorized services in Section 9.2); (c) Customer‑developed Add‑ons; (d) Customer’s failure to apply security patches; or (e) any Modification or use outside the Documentation.
EXCEPT FOR THE EXPRESS WARRANTY IN SECTION 20, AND TO THE MAXIMUM EXTENT PERMITTED BY LAW, BPV AND ALL RELATED SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE”. MIXCONIX AND ITS LICENSORS DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON‑INFRINGEMENT, ACCURACY OF VALIDATION RESULTS, AND UNINTERRUPTED OPERATION. NO ORAL OR WRITTEN INFORMATION GIVEN BY MIXCONIX OR ITS REPRESENTATIVES CREATES A WARRANTY NOT EXPRESSLY SET FORTH IN THIS EULA.
Mixconix shall defend the Customer against any third‑party claim alleging that the Customer’s authorized Use of BPV as provided by Mixconix infringes a valid Romanian or EU patent, copyright, registered design, or trade secret, and shall pay any damages finally awarded by a court of competent jurisdiction or any settlement Mixconix authorizes.
The Customer shall (a) give Mixconix prompt written notice of the claim; (b) tender sole control of the defense and settlement to Mixconix; (c) provide reasonable cooperation.
If BPV becomes, or in Mixconix’s reasonable opinion may become, the subject of an infringement claim, Mixconix may, at its option, (a) procure for the Customer the right to continue Use; (b) modify or replace BPV with non‑infringing functionally equivalent alternatives; or (c) terminate the affected Subscription and refund prepaid unused Fees.
The indemnity does not apply to claims arising from (a) Modifications by the Customer; (b) combination of BPV with Customer or third‑party products not authorized by Mixconix; (c) use beyond the License Metric or in breach of this EULA; (d) Customer Content; (e) open‑source components governed by their own licenses; or (f) SAP Materials (which are governed by SAP’s own indemnity obligations to Mixconix and, where applicable, to the Customer under SAP’s own agreements).
Section 22 states Mixconix’s sole and exclusive liability and the Customer’s sole and exclusive remedy for IP infringement claims.
The Customer shall defend, indemnify, and hold harmless Mixconix and its affiliates, officers, directors, employees, agents, and licensors from any third‑party claim, loss, or expense (including reasonable legal fees) arising from (a) Customer Content; (b) the Customer’s breach of this EULA or applicable law; (c) the Customer’s failure to obtain necessary consents or legal bases for Processing under the DPA; (d) Modifications by the Customer; or (e) Customer‑developed Add‑ons.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY SHALL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS INTERRUPTION, OR COST OF SUBSTITUTE GOODS OR SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
EACH PARTY’S AGGREGATE LIABILITY UNDER OR IN CONNECTION WITH THIS EULA SHALL NOT EXCEED THE FEES PAID OR PAYABLE BY THE CUSTOMER FOR THE APPLICATION IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
The limitations in 24.1 and 24.2 do not apply to (a) the Customer’s payment obligations; (b) breach of Section 7 (Acceptable Use) by the Customer; (c) the Customer’s indemnification obligations under Section 23; (d) Mixconix’s indemnification obligations under Section 22 (capped separately at 2× the annual Fees unless otherwise agreed); (e) liability that cannot be limited by mandatory law (gross negligence, willful misconduct, death or personal injury); (f) breaches of confidentiality involving the disclosure of trade secrets.
The Parties agree that the Fees reflect this allocation of risk and that the limitations are essential to the bargain.
Mixconix may suspend the Customer’s access to BPV, in whole or in part, immediately and with concurrent notice, where (a) the Customer fails to pay Fees within 30 days of the due date; (b) Mixconix reasonably believes Use poses a security risk, abuses the platform, or violates Section 7; (c) Mixconix is required by law, court order, or by SAP under SAP PartnerEdge GTC Art. 6.2 to suspend delivery. Suspension is not a termination; Mixconix will restore access once the cause is remediated.
This EULA applies for the Subscription Term identified in the SAP Store listing or Order Form, including any renewals.
The Customer may cancel renewals through the SAP Store cancellation process or as set out in the Order Form, with effect at the end of the current paid term.
Either party may terminate this EULA for material breach not cured within 30 days of written notice. Either party may terminate immediately upon written notice if the other party (a) becomes insolvent, files for bankruptcy, or ceases business; (b) commits a material breach that is incapable of cure; (c) breaches Section 7 (Acceptable Use) in a manner that endangers the platform or others.
If Mixconix’s SAP PartnerEdge Build authorization is terminated by SAP and Mixconix is unable to continue providing BPV on SAP BTP, Mixconix may terminate this EULA on 30 days’ notice, with a pro‑rata refund of prepaid unused Fees.
Upon termination or expiry of this EULA:
Termination does not relieve the Customer from its obligation to pay Fees accrued or owing for Use prior to termination.
The Customer shall comply with all applicable export control laws and sanctions regimes of the European Union, Romania, the United States, the United Kingdom, and any other relevant jurisdiction. The Customer shall not Use or permit Use of BPV (a) in any country subject to a comprehensive EU or US embargo; (b) by any person or entity on a Restricted Party list; (c) for end‑uses prohibited by Export Laws, including military intelligence, weapons of mass destruction, or nuclear, chemical, or biological weapons; (d) in violation of any SAP export statement at https://www.sap.com/about/agreements/export-statements.html.
The Customer shall comply with all applicable anti‑corruption and anti‑bribery laws, including the U.S. Foreign Corrupt Practices Act, the U.K. Bribery Act, EU and Romanian anti‑corruption legislation. The Customer shall not offer, promise, authorize, or make any payment or other thing of value to any Government Official or private‑sector counterparty for the purpose of unlawfully influencing business decisions in connection with this EULA. The Customer shall not employ Politically Exposed Persons as Authorized Users without prior disclosure to Mixconix where required by SAP PartnerEdge GTC Art. 15.
Neither party (other than for payment obligations) shall be liable for any delay or failure to perform caused by events beyond its reasonable control, including acts of God, war, terrorism, riots, embargoes, governmental actions, pandemics, fire, floods, accidents, strikes, telecommunication or power failures, internet or hyperscaler outages, or failure of SAP BTP. If the event continues for more than 30 consecutive days, either party may terminate the affected Subscription with written notice, consistent with SAP PartnerEdge GTC Part 1 Art. 17(2).
BPV is general‑purpose business software designed for business partner master‑data validation, enrichment, and compliance reporting. BPV is not designed, certified, or intended for use in high‑risk or safety‑critical environments, including (a) operation of nuclear facilities, life support, medical devices regulated as Class III, aircraft control, or other settings where failure could cause death, personal injury, or severe environmental damage; (b) processing of special categories of personal data (Art. 9 GDPR); (c) regulated payment processing; (d) any application requiring fail‑safe performance. The Customer assumes all risk of any such Use and waives any claim against Mixconix arising from such Use.
SAP SE is not a party to this EULA, even where SAP acts as merchant of record under SAP Store. The Customer’s direct relationship with SAP (including its use of SAP BTP under Model B) is governed by SAP’s own terms.
SAP, SAP S/4HANA, SAP BTP, SAP Store, SAP PartnerEdge, SAP® Fiori, SAP HANA, SAP AI Core, SAP DPI, and other SAP marks are trademarks of SAP SE or its affiliates. Customer’s use of these marks, if any, requires SAP’s permission per the SAP PartnerEdge Branding Guide.
This EULA is drafted to be consistent with SAP PartnerEdge GTC v.04‑2026, SAP PartnerEdge Build Cloud Specific T&C, and the Terms of Use for SAP Websites and Supplemental Terms of Use for the SAP Partner Portal (published 13 May 2026). Where SAP imposes mandatory partner obligations on Mixconix that affect the Customer (e.g., suspension, security incident handling, AI use restrictions), Mixconix may pass through such obligations on reasonable notice.
SAP BTP platform‑level commitments (security, compliance, sub‑processor information, data residency) are available via the SAP Trust Center. Mixconix relies on and references those commitments; it does not duplicate or vary them.
The Parties’ confidentiality obligations under the T&C apply to information exchanged in connection with this EULA. Without limitation, BPV’s source code, architecture, security configurations, and audit reports are Mixconix Confidential Information. The Customer Content and the Customer’s master data are the Customer’s Confidential Information. Confidentiality survives termination for 5 years, and indefinitely for trade secrets.
This EULA is governed by the laws of Romania, excluding conflict‑of‑laws principles and the United Nations Convention on Contracts for the International Sale of Goods. The competent courts are those of Brașov, Romania. Nothing in this Section limits any mandatory consumer or data‑protection rights of the Customer under applicable law.
Notices to Mixconix shall be sent to office@mixconix.com (subject line: “Legal Notice”). Notices to the Customer shall be sent to the email address recorded in the SAP Store order or Order Form. Notices are effective upon receipt; emails are presumed received on the next business day after transmission.
The Customer may not assign this EULA without Mixconix’s prior written consent, except to an Affiliate of equal or greater creditworthiness with prior notice. Mixconix may assign this EULA to an Affiliate or in connection with a merger, acquisition, or sale of substantially all assets, and may use Sub‑processors as set out in the DPA.
The following Sections survive termination or expiry: 1 (Definitions); 2.4 (Reservation of Rights); 7 (Acceptable Use, to the extent applicable to retained materials); 11 (Data Protection); 17 (Audit, for 12 months); 18 (IP, Feedback, Reservation of Title); 20.3 and 21–24 (Warranties, Indemnities, Limitation of Liability); 25 (Suspension, with respect to suspensions in effect); 27 (Effect of Termination); 28–29 (Export, Compliance); 31 (High‑Risk Use); 32 (SAP Notices); 33 (Confidentiality, for 5 years); 34–39 (Misc).
If any provision of this EULA is held invalid or unenforceable, the remaining provisions remain in full force and effect, and the invalid provision shall be replaced with a valid one closest to the Parties’ original intent.
This EULA, together with the T&C, the DPA, the Privacy Policy, the Support Policy, any Order Form, the SAP Store listing, and the applicable annexes, constitutes the entire agreement between the Parties with respect to the Application and supersedes all prior and contemporaneous agreements and communications, written or oral.
Order of precedence (highest to lowest) in case of conflict:
Amendments to this EULA shall be in writing. Mixconix may implement changes required by SAP PartnerEdge program updates, by law, or for security on written notice. Where such a change materially and adversely affects the Customer, the Customer may terminate the affected Subscription with effect at the end of the applicable change period, with a pro‑rata refund of prepaid unused Fees.
